Welcome to WiiShoppe.

These Terms and Conditions ("Terms") govern your access to and use of the WiiShoppe website, marketplace, services, and related features.

By accessing WiiShoppe, creating an account, listing products, placing an order, purchasing a product, or otherwise using the platform, you acknowledge that you have read and agree to these Terms.

If you do not agree with these Terms, you should not use the WiiShoppe platform.

1. About WiiShoppe

WiiShoppe is an online marketplace that allows customers to discover and purchase products and allows approved sellers to advertise and sell products through the platform.

Products available through WiiShoppe may be:

• Sold directly by WiiShoppe; or

• Listed and sold by independent third-party sellers.

Where a product is sold by an independent seller, that seller remains responsible for its products, product descriptions, stock availability, warranties and fulfilment obligations, except where WiiShoppe expressly assumes responsibility for a particular service.

WiiShoppe may provide technology, payment processing, communication, promotional, order-management, delivery coordination, customer-support and other marketplace services.

2. Eligibility to Use WiiShoppe

You must be legally capable of entering into a binding agreement to create an account or make purchases through WiiShoppe.

If you are under the legal age required to enter into contracts, you may only use WiiShoppe with the involvement and authorization of a parent or legal guardian.

You agree that information supplied to WiiShoppe will be accurate, current and complete.

3. User Accounts

Certain WiiShoppe services may require you to create an account.

You are responsible for:

• Maintaining the confidentiality of your login credentials;

• Providing accurate account information;

• Keeping your contact information updated;

• Restricting unauthorized access to your account; and

• Activities conducted through your account where reasonably attributable to your use or failure to safeguard your credentials.

You must notify WiiShoppe promptly if you believe your account has been compromised or used without authorization.

WiiShoppe may suspend, restrict or terminate an account where reasonably necessary to address suspected fraud, security threats, abuse, violations of these Terms or unlawful activity.

4. Products and Listings

WiiShoppe and its sellers aim to provide accurate product information.

Product listings may contain:

• Product photographs;

• Descriptions;

• Specifications;

• Prices;

• Availability;

• Warranty information;

• Seller information; and

• Delivery information.

Reasonable differences may occur between product photographs and the actual product because of screen settings, photography, packaging changes or manufacturer updates.

Sellers are responsible for ensuring that their listings are accurate and do not intentionally misrepresent products.

WiiShoppe reserves the right to remove, correct or suspend listings that contain inaccurate information, prohibited products, suspected counterfeit products or content that violates marketplace rules.

5. Prices

Prices displayed on WiiShoppe are normally shown in Trinidad and Tobago Dollars (TTD) unless another currency is clearly stated.

Applicable taxes, delivery charges or other fees will be displayed or communicated where applicable.

Prices may change without prior notice before an order is completed.

Once an order has been accepted, the price applicable to that transaction will generally be the price confirmed with the order, subject to circumstances such as obvious pricing errors, payment failures, fraud or other circumstances permitted by applicable law.

6. Pricing Errors

WiiShoppe and sellers make reasonable efforts to ensure prices are accurate.

Occasionally, a product may be listed with an obvious pricing, typographical or technical error.

Where such an error occurs before an order has been accepted or fulfilled, WiiShoppe or the seller may contact the customer to explain the error and provide appropriate options.

Nothing in this section is intended to remove any rights available to consumers under applicable law.

7. Orders

Placing an order through WiiShoppe constitutes an offer to purchase the selected product or service.

Receiving an automated order acknowledgement does not necessarily mean that an order has been finally accepted.

An order may be subject to:

• Product availability;

• Seller confirmation;

• Payment authorization;

• Fraud or security screening;

• Delivery availability; and

• Verification of order information.

Once an order is accepted, the customer will receive confirmation through the platform, email or another available communication method.

8. Order Cancellation

Customers may request cancellation before an order has been dispatched or otherwise committed for fulfilment.

Cancellation cannot always be guaranteed once processing or delivery has begun.

WiiShoppe or a seller may cancel an order where reasonably necessary because of:

• Product unavailability;

• Payment failure;

• Suspected fraudulent activity;

• Incorrect pricing or listing information;

• An inability to complete delivery;

• A violation of these Terms; or

• Other lawful circumstances preventing fulfilment.

Where payment has already been collected for an order that is subsequently cancelled and the customer is entitled to reimbursement, the appropriate refund will be processed.

9. Payments

WiiShoppe may support various payment methods.

Available payment options will be displayed during checkout and may change from time to time.

Customers agree to provide valid and authorized payment information.

WiiShoppe may use third-party payment processors to securely process transactions.

WiiShoppe does not guarantee that every payment method will always be available.

Transactions may be declined or delayed because of:

• Payment-provider decisions;

• Bank authorization;

• Security checks;

• Incorrect payment information;

• Insufficient funds; or

• Suspected fraud.

10. Delivery and Collection

Available delivery or collection options will be displayed where applicable.

Estimated delivery times are estimates rather than guarantees unless expressly stated otherwise.

Delivery may be affected by circumstances outside the reasonable control of WiiShoppe or the seller, including:

• Weather;

• Traffic;

• Courier delays;

• Incorrect delivery information;

• Public emergencies;

• Natural disasters;

• Customs or import delays; and

• Other unforeseen circumstances.

Customers are responsible for providing accurate delivery information.

Additional costs caused by incorrect information supplied by the customer may be charged where reasonable and lawful.

11. Receiving Your Order

Customers should inspect their order as soon as reasonably possible after receiving it.

If an item is damaged, defective, incorrect or materially different from what was ordered, the customer should contact WiiShoppe or the relevant seller promptly.

Photographs, video, packaging or other reasonable supporting information may be requested to assist with the investigation.

12. Returns, Refunds and Exchanges

Returns, refunds, replacements and exchanges are governed by the WiiShoppe Return, Refund & Exchange Policy, together with applicable consumer protection laws.

Nothing contained in these Terms or WiiShoppe's Return Policy is intended to exclude or restrict statutory rights available to consumers in Trinidad and Tobago.

13. Third-Party Sellers

Independent sellers using WiiShoppe are responsible for:

• Providing accurate product descriptions;

• Maintaining accurate pricing;

• Maintaining appropriate inventory;

• Supplying genuine and lawful products;

• Fulfilling accepted orders;

• Honouring applicable warranties;

• Responding appropriately to customer complaints;

• Complying with WiiShoppe marketplace policies; and

• Complying with applicable laws and regulations.

A seller may not use WiiShoppe to sell counterfeit, stolen, fraudulent, unsafe, prohibited or unlawfully obtained goods.

WiiShoppe reserves the right to investigate sellers and remove products or suspend or terminate seller accounts where reasonably necessary.

14. Marketplace Relationship

Unless a product is specifically identified as being sold directly by WiiShoppe, the contract for the sale of a third-party seller's product may be between the customer and that seller.

WiiShoppe provides the marketplace infrastructure through which buyers and sellers may transact.

However, WiiShoppe may assist with customer service, dispute resolution, payments, returns or other marketplace services.

Nothing in these Terms prevents WiiShoppe from accepting responsibilities that apply to it under applicable law.

15. Seller Fees and Commissions

WiiShoppe may charge sellers:

• Listing fees;

• Sales commissions;

• Subscription fees;

• Promotional fees;

• Transaction fees;

• Delivery-related charges; or

• Other marketplace service fees.

Applicable fees should be disclosed to sellers through the seller dashboard, seller agreement, fee schedule or other applicable documentation.

WiiShoppe may update seller fees upon reasonable notice where appropriate.

16. Prohibited Products

Sellers must not list products that are illegal, unsafe, counterfeit or otherwise prohibited by WiiShoppe.

Prohibited or restricted items may include, depending on applicable law and WiiShoppe marketplace rules:

• Stolen goods;

• Counterfeit products;

• Illegal drugs;

• Unlawfully sold prescription medication;

• Illegal weapons;

• Hazardous materials;

• Fraudulent documents;

• Products that infringe intellectual property rights; and

• Any goods whose sale is prohibited by applicable law.

WiiShoppe may remove prohibited listings without prior notice where appropriate.

17. Reviews and User Content

WiiShoppe may allow customers and sellers to submit:

• Reviews;

• Ratings;

• Comments;

• Photographs;

• Questions;

• Product information; or

• Other content.

Users must not submit content that is:

• Fraudulent or deliberately misleading;

• Defamatory or threatening;

• Obscene or unlawful;

• Spam;

• Infringing on another person's intellectual property;

• Designed to manipulate ratings or reviews; or

• Otherwise harmful to the platform or its users.

WiiShoppe may moderate or remove content that violates these requirements.

18. Intellectual Property

The WiiShoppe name, logo, website design, graphics, software, branding and original platform content are owned by or licensed to WiiShoppe and are protected by applicable intellectual property laws.

Users may not reproduce, copy, distribute, modify or commercially exploit WiiShoppe intellectual property without authorization.

Third-party trademarks and product names remain the property of their respective owners.

19. Fraud and Platform Abuse

Users must not:

• Create fraudulent orders;

• Use stolen payment information;

• Manipulate prices or transactions;

• Abuse refund or return procedures;

• Attempt unauthorized access to another account;

• Introduce malicious software;

• Scrape or harvest platform information without authorization;

• Circumvent security systems;

• Manipulate reviews or ratings; or

• Use WiiShoppe for unlawful activity.

Suspected fraudulent activity may result in account restrictions, cancellation of transactions and referral to relevant authorities where appropriate.

20. Promotions, Coupons and Discounts

Promotional offers may be subject to separate conditions.

Unless otherwise stated:

• Promotions cannot be exchanged for cash;

• Coupons may have expiry dates;

• Some products or sellers may be excluded;

• Minimum purchase requirements may apply; and

• Promotions may not be combined.

WiiShoppe may cancel or correct promotions affected by technical errors, fraud or misuse, subject to applicable law.

21. Product Warranties

Certain products may include manufacturer or seller warranties.

Warranty duration and conditions may differ between products.

Customers should review warranty information provided with the product or product listing.

A manufacturer's warranty does not remove any statutory rights that may otherwise be available to a consumer.

22. Third-Party Services and Links

WiiShoppe may contain links or integrations with third-party services, including:

• Payment processors;

• Delivery companies;

• Social-media platforms; and

• Other external websites.

Those services may operate under their own terms and privacy policies.

WiiShoppe is not responsible for the independent content or practices of third-party websites that it does not control, except to the extent responsibility cannot lawfully be excluded.

23. Platform Availability

WiiShoppe aims to maintain reliable platform availability but cannot guarantee uninterrupted access.

The website may occasionally be unavailable because of:

• Maintenance;

• Software updates;

• Server outages;

• Internet disruptions;

• Cybersecurity incidents; or

• Circumstances beyond reasonable control.

WiiShoppe may modify or discontinue platform features where reasonably necessary.

24. Limitation of Liability

To the maximum extent permitted by applicable law, WiiShoppe will not be responsible for indirect or consequential losses arising solely from circumstances beyond its reasonable control or from misuse of the platform.

Nothing in these Terms excludes or limits liability where such exclusion or limitation would be unlawful.

Nothing in these Terms is intended to restrict any mandatory consumer rights available under the laws of Trinidad and Tobago.

25. Indemnification

To the extent permitted by law, users may be responsible for losses reasonably incurred by WiiShoppe resulting from their unlawful use of the platform, fraudulent activity, infringement of third-party rights or material breach of these Terms.

This provision does not limit rights or protections that cannot legally be waived.

26. Account Suspension and Termination

WiiShoppe may restrict, suspend or terminate accounts where there are reasonable grounds involving:

• Fraud;

• Illegal activity;

• Repeated policy violations;

• Security risks;

• Abuse of customers or sellers;

• Sale of prohibited goods;

• Manipulation of the marketplace; or

• Serious or repeated breaches of these Terms.

Where appropriate, users may contact WiiShoppe regarding an account restriction.

27. Privacy and Personal Information

WiiShoppe collects and processes personal information in accordance with its Privacy Policy and applicable law.

By using WiiShoppe, users acknowledge that information may be processed as reasonably necessary to:

• Operate accounts;

• Process transactions;

• Facilitate delivery;

• Prevent fraud;

• Provide customer support;

• Improve marketplace services; and

• Meet legal or regulatory requirements.

28. Communications

By creating an account or completing a transaction, users agree that WiiShoppe may send transactional communications relating to:

WiiShoppe may facilitate an appropriate resolution in accordance with marketplace policies and applicable law.

Nothing in this process prevents a consumer from exercising legal rights or seeking assistance from an appropriate authority.

30. Changes to These Terms

WiiShoppe may update these Terms from time to time to reflect changes in:

• Marketplace services;

• Business operations;

• Technology;

• Security requirements;

• Laws or regulations; or

• Platform policies.

The updated version will be published on WiiShoppe with a revised "Last Updated" date.

Material changes will apply prospectively where required by applicable law.

31. Governing Law

These Terms are governed by and interpreted in accordance with the laws of the Republic of Trinidad and Tobago.

Subject to any mandatory consumer rights or other applicable legal requirements, disputes relating to these Terms or use of WiiShoppe will be subject to the jurisdiction of the courts of Trinidad and Tobago.

32. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue to apply to the fullest extent permitted by law.

33. Entire Agreement

These Terms, together with applicable WiiShoppe policies, including the:

• Privacy Policy;

• Return, Refund & Exchange Policy;

• Shipping and Delivery Policy;

• Seller Policy; and

• Any applicable seller or promotional terms,

form the terms governing use of the relevant WiiShoppe services.
